In-House Law Clerk/Paralegal

Field Effect is looking for a Law Clerk/Paralegal to provide a range of legal assistance and support in a variety of areas, including corporate governance, patent and trademark portfolio support, and contracts administration. This role is hybrid or remote.
As our Law Clerk/Paralegal, you’ll play a pivotal role in keeping our legal operations airtight, supporting innovation, and protecting our intellectual property.
Your key responsibilities will include:
- Oversee, organize and maintain corporate minute books and records for our entities in Canada, US, UK and Australia, including preparing resolutions
- Minute book administration, including updating registers and ledgers, as required
- Manage annual filings in all jurisdictions
- Research corporate regulatory requirements in the jurisdictions where we have offices and provide assistance in ensuring organizational adherence to relevant laws, regulations, and company policies
- Maintain and organize electronic legal records, including contracts and IP portfolios and related correspondence
- Establish and manage the implementation of a contracts lifecycle management system
- Manage invoices and expenses related to external counsel and legal operations
- Track and monitor legal budgets, ensuring cost-effectiveness
- Oversee the filing, tracking, and renewal of patents and trademarks
- Work with our external counsel to guide patents and trademarks through the various stages to registration
- Research IP-related queries to ensure alignment with corporate goals
- Coordinate with external legal counsel and relevant internal stakeholders on various matters
- Prepare non-disclosure agreements and review change requests and/or third-party non-disclosure agreements
- Respond to inquiries regarding contract obligations and revisions
- Review software licensing agreements for the procurement of software and tools
Experience and skills we're looking for:
- 4 to 7 years’ experience as a law clerk or paralegal in a corporate in-house department, law firm, or similar environment
- Relevant post-secondary education in Law Clerk studies, Paralegal Studies, or equivalent experience and education
- Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint)
- Knowledge of corporate recordkeeping requirements
- Previous exposure and some experience in contracting processes is a plus
- Willingness to learn and grow contract management skills
- Some knowledge of intellectual property procedures would be a benefit
- Strong ability to manage multiple priorities and meet deadlines
- Exceptional attention to detail and organizational skills
- Strong communication and interpersonal skills
- Ability to maintain confidentiality and handle sensitive information with discretion
